Terms of Service

Last updated: 31 October 2026

1. Who we are

Adcent Media Inc. (“Adcent”, “we”, “us”) operates Adcent, a performance advertising network and offerwall platform. These Terms apply to everyone who uses adcentmedia.com, our dashboards (publishers., advertisers. and admin. subdomains), our offerwall (wall.adcentmedia.com) and our tracking and API services (together, the “Services”). By creating an account or using the Services you agree to these Terms and to our Privacy Policy. If you use the Services for a company, you confirm you can bind it.

2. Accounts

  • You sign in with your email address and a one-time code we email to you. There are no passwords. Anyone with access to your inbox can access your account, so keep it secure.
  • You must give accurate information and keep it up to date. You may hold one account per person or business unless we agree otherwise.
  • Publisher and advertiser accounts are reviewed. We may approve, reject, limit or suspend any account at our discretion, and we will tell you by email when we can.
  • You are responsible for everything done through your account.

3. Publishers

Traffic rules. You may send us only genuine, human visitors who chose to interact with an offer. You must not use bots, scripts, click farms, self-clicks, VPN or proxy rotation, emulators, hidden or forced redirects, misleading placements, or any method that fakes or inflates clicks or conversions. You must not offer rewards that misrepresent what a user must do. You are responsible for telling your users how their data is used and for having any consent your law requires.

Screening. Every click is screened before it reaches an offer. We may block or discard clicks and conversions that look invalid, and we do not have to explain the detail of our detection.

What you earn. The payout shown to you for an offer is what you earn for each valid conversion. Payout rates may differ between publishers and offers and may change; a change does not affect conversions that already happened.

Holds and reversals. A conversion is first held. New accounts have a longer hold, and the hold is never shorter than the period in which the advertiser or upstream network can still reverse the conversion. When the hold ends the earnings are added to your available balance. If a conversion is reversed, rejected, or found to be fraudulent, the earnings for it are removed. If they were already added to your balance or paid out, we may deduct them from your balance or from future earnings, and your balance can go negative until it is cleared.

Withdrawals. The minimum withdrawal is US$50. We pay by PayPal or by USDT on the TRC20 (Tron) network only. You must give an address or account that you control. Funds sent to a wrong address cannot be recovered. A payout account can be linked to one publisher only. After you add or change a payout method, withdrawals are locked for a security period. Withdrawals are processed by our team and may take time to review. You are responsible for any taxes on what you earn, and for fees charged by your payment provider.

Freezes and forfeiture. We may freeze an account, stop its clicks, and withhold or cancel earnings that we reasonably believe come from fraud, a breach of these Terms, or traffic an advertiser or network has rejected.

4. Advertisers

Funding. You pay in advance. You tell us when you have sent a payment (USDT or PayPal) and give the transaction reference. Your balance is credited only after we confirm that the payment has arrived, and for the amount that actually arrived.

Charges. Each valid conversion is charged to your balance at the payout you set for that offer. The amount is fixed by the offer, not by the postback you send. You must send a conversion postback for every conversion and keep your postback key secret.

Offers. Every new offer and every edit is reviewed by us before it goes live, and we may reject or remove any offer. Your offer, landing pages and tracking links must be lawful, accurate and safe, and must not mislead users or distribute malware. You confirm you have the rights to everything you submit and give us permission to display it to publishers and their users.

Reversals. You may reverse a conversion only while it is still on hold, which is your validation window; a reversal in that period refunds the charge. After the publisher has been credited a conversion stands, and later reversal requests are refused and may be reviewed.

Balance and pausing. If your balance is exhausted your offers pause automatically. We may suspend an account and pause its offers at any time. We do not guarantee any volume of traffic or conversions. Refunds of an unused balance are at our discretion; we may deduct anything you owe us first.

5. Prohibited conduct

  • Breaking the law, or using the Services for illegal, deceptive, or harmful activity.
  • Interfering with, probing, or attempting to bypass our security, fraud screening, rate limits, or tracking.
  • Creating accounts to evade a suspension, or to collect payouts that belong elsewhere.
  • Scraping, reselling or redistributing our offers or offer data without our written permission.
  • Impersonating another person or business.

6. Third-party offers and links

Offers lead to websites, apps and services run by advertisers and other networks. We do not control them and are not responsible for them, their content, or what they do with your data. You use them at your own risk and under their own terms.

7. Suspension and termination

You can stop using the Services at any time and ask us to close your account. We may suspend or end your access immediately if we reasonably believe you have breached these Terms, created risk or loss for us or others, or if the law requires it. Amounts you are entitled to for valid, completed conversions will be paid according to Section 3, less anything you owe us, unless we have withheld them under that Section.

8. Disclaimers and liability

The Services are provided “as is” and “as available”. We do not promise uninterrupted or error-free service, particular earnings, or that offers will always be available. To the extent the law allows, we are not liable for indirect or consequential loss, lost profits, or lost data, and our total liability to you for any claim is limited to the amount we paid or charged you through the Services in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

You will compensate us for losses, claims and costs arising from your breach of these Terms, your traffic, or your offers and content.

9. Changes to these Terms

We may update these Terms. When the change is material we will notify you by email or in the dashboard. If you keep using the Services after the change takes effect, you accept the new Terms. If you do not agree, stop using the Services and close your account.

10. Governing law and contact

These Terms are governed by the laws of the jurisdiction in which Adcent Media Inc. is incorporated, and the courts of that jurisdiction have exclusive jurisdiction, unless mandatory law where you live says otherwise. Questions about these Terms: [email protected].
